Audit Committee

(view the charter) - the primary purpose is to assist the Board in fulfilling its oversight responsibilities relating to the integrity of the Company's financial statements, the Company's compliance with legal and regulatory requirements, the independent registered public accounting firm's qualifications and independence, and the performance of the Company's internal audit function and independent registered public accounting firm. The Audit Committee appoints, retains, terminates, determines compensation for, and oversees the independent registered public accounting firm, reviews the scope of the audit by the independent registered public accounting firm and inquires into the effectiveness of the Company's accounting and internal control functions. The Audit Committee assists the Board of Directors in establishing and monitoring compliance with the ethical Business Practice Standards of the Company. The Audit Committee also reviews with the Company's management and the independent registered public accounting firm, the Company's policies and procedures with respect to risk assessment and risk management.

John T. Cardis
John T. Cardis

John T. Cardis, age 72.  Mr. Cardis has been a director of the Company since 2004 and is the Chairman of the Audit Committee.  Mr. Cardis, a senior partner of Deloitte & Touche until his retirement in 2004, served at Deloitte & Touche for 41 years in positions of increasing responsibility, including as National Managing Partner Global Strategic Clients, as a member of its executive committee for 18 years, and as a member of its board of directors. He has been a director of Avery Dennison Corporation since 2004. Mr. Cardis remains actively involved as a private investor and has served on a number of non-profit and community organizations.

Kieran T. Gallahue
Kieran T. Gallahue

Kieran T. Gallahue, age 51.  Mr. Gallahue has been a director of the Company since February 2015.  He was Chairman of the Board and Chief Executive Officer of CareFusion Corporation from 2011 until March 2015. Previously, Mr. Gallahue joined ResMed, Inc. in 2003 as President and Chief Operating Officer of the Americas, was promoted to the role of President and Chief Operating Officer of ResMed Global in 2004, and Chief Executive Officer and director in 2008.  Mr. Gallahue also served on the board of Volcano Corporation until 2015. Prior to 2002, he held various marketing, sales and financial positions within Nanogen, Inc., Instrumentation Laboratory, the Procter & Gamble Company, and the General Electric Company.  Mr. Gallahue has 20 years of strategic, operational, and corporate management experience in the healthcare industry, with deep expertise in the medical technologies field. He has also served on the Board of Directors and Executive Committee of the Advanced Medical Technology Association (AdvaMed), formerly the Chairman of AdvaMed’s International Committee, and its Treasurer.

Leslie S. Heisz
Leslie S. Heisz

Leslie S. Heisz, age 55, has been a member of the Board of Directors of the Company since July 5, 2016.  An experienced investment banking and finance executive, Ms. Heisz has held senior positions at Salomon Brothers Inc. from 1987 to 1995; at Dresdner Kleinwort Wasserstein (and its predecessor Wasserstein Perella & Co.) from 1995 to 2002; and at Lazard Fréres & Co. LLC from 2003 to 2010, providing strategic financial advisory services to clients in a variety of industries.  Prior to these roles, from 1982 to 1986, Ms. Heisz was a senior consultant specializing in strategic information systems at Price Waterhouse.  Ms. Heisz has served on the Boards of Directors of Ingram Micro Inc. since 2007, and Kaiser Permanente since 2015.  She previously served on the Boards of HCC Insurance Holdings, Inc. from 2010 to 2014 and Towers Watson & Co. from 2012 to 2016.

Ms. Heisz earned her MBA from the UCLA Anderson School of Management.  She received her Bachelor’s degree in economics-systems science at the University of California.  In 2015, Ms. Heisz was inducted into the Directorship 100 Hall of Fame of the National Association of Corporate Directors.
 

Wesley W. von Schack
Wesley W. von Schack

Wesley W. von Schack, age 69. Mr. von Schack has been a director of the Company since February 2010 and is currently serving as Presiding Director of the Board. He served as Chairman, President, and Chief Executive Officer of Energy East Corporation, an energy services company, from 1996 until his retirement in 2009 (Energy East Corporation was acquired by Iberdrola S.A. in 2008). Mr. von Schack has been a director of the Bank of New York Mellon Corporation since 2007 and is its lead director and chairman of its executive committee. He has been a member of the board of directors of AEGIS Insurance Services since 1997, its chairman since 2006, and a non-executive director of AEGIS Managing Agency Limited, which manages Syndicate 1225 at Lloyd's of London.  Mr. von Schack has been a director of Teledyne Technologies, Inc., since 2006. He received his Bachelor's degree in Economics from Fordham University, an MBA from St. John's University, and Doctorate degree from Pace University.
